Terms of Service

1. Parties and purpose

These Terms of Service ("Terms") govern the contractual relationship between IANOVA — Karin Andrea Jorquera Montecinos ("IANOVA", "we"), based in Valencia (Spain), Carrer de Just Vilar 24, 46011, Tax ID (NIF) Z2643977V, and the person or entity engaging the 3LIT3 platform ("the Creator", "you").

3LIT3 is a white-label SaaS platform that lets content creators launch their own subscription app (web and mobile) under their own brand, to manage programs, community, habits and payments to their own students.

These Terms govern exclusively the IANOVA–Creator relationship (the software license and SaaS service agreement). They do not govern the relationship between the Creator and their own students, which is governed by the legal documents each Creator publishes in their own app (Terms, Privacy, Refunds), under their exclusive responsibility.

2. Nature of the service

3LIT3 is provided under a non-exclusive, non-transferable license to use the software and infrastructure needed to operate the Creator's app. IANOVA retains full ownership of the software, code, design and the 3LIT3/IANOVA brand; the Creator acquires no ownership right over them.

Access to the 3MPIR3 Plan is by invitation only — there is no public self-service sign-up. A Creator's account is activated once the contracted plan and, where applicable, the first payment, are confirmed.

3. Plans and pricing

3LIT3 is offered under the following subscription plans, with monthly or annual billing at the Creator's choice:

Prices are shown before applicable taxes, which are added per applicable regulations (Spanish VAT or, where applicable, the Creator's own country's regime). IANOVA may update plan prices with at least 30 days' prior notice by email to active Creators; the new price will not apply retroactively to subscriptions already invoiced.

0% commission on the Creator's sales to their students. IANOVA's revenue is limited exclusively to the fixed fee of the contracted plan.

4. Payment method and billing

Subscription fee payment is processed through Stripe, as IANOVA's payment gateway. By contracting a plan, the Creator accepts Stripe's terms of service applicable to payments (https://stripe.com/legal).

Billing is recurring (monthly or annual, per the chosen cycle) and automatically renews at the end of each period, unless cancelled per section 6. Non-payment of a fee may result in suspension of access to 3LIT3 per section 7.

5. The Creator's charges to their own students — BYOP architecture

3LIT3 operates under a "Bring Your Own Processor" (BYOP) model: the Creator connects their own payment gateway account (Stripe or KunfuPay, depending on availability in their country) to charge their students directly, anywhere in the world. Money from those charges goes directly to the Creator's own account, never passing through an IANOVA account at any point.

As a result: IANOVA is not a party to the payment relationship between the Creator and their students, nor does it act as Merchant of Record for those transactions. The Creator is solely responsible for complying with their tax, billing, consumer protection and regulatory obligations (including any applicable data protection regulation) regarding charges to their own students. IANOVA does not guarantee the availability, approval, or terms of Stripe or KunfuPay for the Creator's country, as these are services provided by third parties unrelated to IANOVA.

6. Duration and cancellation

The subscription has an indefinite duration, automatically renewing for periods equal to the chosen billing cycle. The Creator may cancel at any time from the HUB or by writing to hola@ianova.tech. Access to the platform ends at the close of the already-paid period — no refunds are given for partial periods, unless applicable regulations provide otherwise or as set out in the following paragraph.

14-day guarantee. If the Creator contracts a plan for the first time and is not satisfied, they may request a full refund of their first payment within 14 calendar days of that payment's date, by writing to hola@ianova.tech. This guarantee applies only to the first subscription, not to subsequent renewals.

For the 30 days following the end of access, IANOVA will keep a copy of the Creator's data (content, student base, configuration) solely to allow them to request its export, without this implying reactivation of the service or operational access to the platform. After that period, IANOVA may permanently delete it.

7. Suspension and termination for breach

IANOVA may suspend or terminate a Creator's access to 3LIT3, with prior notice unless justified urgency applies, in the event of:

  • Non-payment of the subscription fee after a payment request.
  • Use of the platform for unlawful or fraudulent purposes, or purposes that infringe third-party rights.
  • Publishing content that violates applicable regulations or the terms of app stores (App Store, Google Play) when native distribution applies.
  • Serious or repeated breach of these Terms.

8. Intellectual property

All intellectual and industrial property rights over the software, code, platform design, the 3LIT3 brand and the IANOVA brand are the exclusive property of IANOVA. The Creator retains ownership at all times of their own content (programs, text, images, their own brand) that they upload to the platform.

9. Data protection

IANOVA acts as Data Processor with respect to the data of the Creator's students, and as Data Controller with respect to the Creator's own data as a customer. Processing is governed by the IANOVA's Privacy Policy and, when the Creator has students in the European Union, by a data processing agreement under the GDPR.

10. Service level and availability

IANOVA makes commercially reasonable efforts to keep the platform continuously available, without guaranteeing 100% availability. Scheduled maintenance tasks will be communicated with reasonable notice when a significant interruption is foreseeable.

11. Limitation of liability

To the extent permitted by law, IANOVA's total liability to the Creator for any claim arising from these Terms is limited to the amount actually paid by the Creator in the 3 months prior to the event giving rise to the claim. IANOVA is not liable for indirect damages, loss of profit, nor for the content or business decisions of the Creator regarding their own students.

12. Modification of these Terms

IANOVA may modify these Terms to reflect legal, technical or service changes. Substantial modifications will be communicated at least 15 days in advance; continued use of the platform after that date implies acceptance of the new Terms.

13. Applicable law and jurisdiction

These Terms are governed by Spanish law. For any dispute arising from their interpretation or performance, the parties submit to the Courts of Valencia (Spain), without prejudice to the jurisdiction that may legally correspond to the Creator when acting as a consumer.
